PRODUCTION AGREEMENT TERMS OF SERVICE

Between Reveal Motion Pictures LLC, dba Reveal Video Production (the "Producer") and you (the "Client").

We will always do our best to fulfill your needs and meet your goals, but it is best to have our terms clearly stated so that both parties understand obligations, timelines, and procedures if adjustments occur. We aim for transparency and mutual protection throughout the production process.

PLAIN-LANGUAGE OVERVIEW

You (and/or your organization) are engaging Reveal Motion Pictures LLC, dba Reveal Video Production, based in Las Vegas, Nevada, to produce the deliverables outlined in your custom project proposal for the total estimated price provided.

Mutual Obligations:

1). Client Responsibilities: You confirm you possess the authority to enter into this contract on behalf of your company. You agree to provide required assets—including text, high-resolution branding, images, and project details—in a timely manner and in requested formats. You agree to review deliverables, provide consolidated feedback, and adhere to the payment schedule in your proposal.

2). Producer Responsibilities: We bring professional expertise, equipment, $1,000,000 general liability insurance, and industry-standard workflows to execute your project. We strive to meet all agreed milestones; however, we are not responsible for missed deadlines resulting from delayed assets, late approvals, or delayed sign-offs from your team. We maintain strict confidentiality regarding all non-public information shared with us.

3). Revisions & Communication: Your proposal details your included Pre-Production and Post-Production revision rounds. Additional major or minor revision rounds are billed at $150 per hour (1-hour minimum). To maintain project schedules and budgets, all feedback must be consolidated and submitted by your organization’s single designated Point of Contact using our digital video review system.

4). Transferability: This agreement cannot be transferred or assigned to another party without our prior written consent.

5). Authorization: Authorizing this project requires an executed signature on your project proposal or statement of work.

DETAILED STANDARD TERMS & CONDITIONS

1. Term & Production Schedule

Work commences and concludes according to the target production timeline set forth in your proposal. Timelines may be adjusted upon mutual written consent. Finalized timelines serve as the primary schedule and milestone guidelines. Both parties agree to adhere to these target dates to the best of their abilities.

2. Roles & Responsibilities

Producer Will: Execute the services, supply standard production crew and gear, maintain appropriate insurance, and deliver the final digital files specified in the approved proposal.

Client Will:

1). Provide clear brand guidelines, text, logos, and media assets prior to production.

2). Review work and supply approvals within agreed timeframes.

3). Adhere to the payment terms outlined in the proposal.

4). Secure and pay for any specific client-supplied talent, location access, or specialized business permissions required for the shoot unless explicitly included in the proposal scope.

3. Fees, Payment Terms & Late Interest

The total project cost is specified in your proposal, excluding unexpected out-of-scope expenses requested by the Client. Standard payment terms are structured as follows:

1). Initial Deposit: 50% of the total project fee, due upon contract execution/proposal signing before pre-production begins.

2). Final Payment: Remaining 50% due upon delivery of Final Files.

3). Late Payment Interest: Invoices past due beyond the specified terms are subject to a late payment interest fee of 1.5% per month (or the maximum rate permitted by law), compounded monthly on all outstanding balances until paid in full. Ownership of Final Files and licensing rights do not transfer to the Client until all outstanding invoices are paid in full.

4. Overtime & Production Hours

Standard production and editing workdays are calculated on a 10-hour day threshold (including prep, shoot time, wrap, travel, and post-production shifts).

* Work performed beyond 10 hours in a single day, or work requested on weekends or official holidays, is subject to overtime rates.

* Overtime expenses will be presented by Producer to Client for approval prior to being incurred. In time-sensitive or extenuating set circumstances where immediate approval cannot be obtained, Client authorizes Producer to use best professional judgment regarding necessary overtime to complete the scheduled shoot.

5. Deposits, Cancellations & Delays

Due to equipment reservation, crew scheduling, and pre-production resource allocation, the 50% initial deposit is non-refundable.

* Shoot Cancellation/Rescheduling Fee: Production crews and equipment are booked in advance. If the Client cancels or postpones a scheduled shoot date with less than 7 calendar days' notice, a flat $1,200 cancellation fee will be billed to the Client immediately. Cancellations within 48 hours of call time may incur additional hard costs for non-cancelable vendor fees, specialized gear rentals, and crew day rates.

* Weather & Unforeseen Delays: Delays or cancellations caused by adverse weather conditions, force majeure, or client-supplied talent/element absences are handled under general delays and rescheduling. Any extra out-of-pocket costs incurred by Producer due to weather delays will be billed to the Client.

* Inactive Projects & Reactivation Fee: Revisions and feedback must be delivered within 10 business days. If no feedback or communication is received within 14 calendar days of sending a draft, the draft will be deemed accepted and approved as final. Projects that go dormant or remain inactive for longer than 30 consecutive days due to Client delays will incur a $1,200 reactivation fee to re-allocate editing infrastructure and reschedule crew.

6. Scope Changes & Re-Shoots

* Scope Amendments: Requests for features, scenes, script changes, or revisions beyond the approved concept/script will be quoted as a formal scope amendment before additional work begins.

* Re-Shoots: If a re-shoot is requested by the Client for reasons unrelated to Producer error, the Client will be billed for all additional production expenses, crew fees, and location costs incurred.

7. Revisions & Feedback

* Included Rounds: The exact number of major concept revisions and minor editing revisions included is stated in your proposal.

* Additional Work: Extra revision time outside included rounds is billed at $150/hour (1-hour minimum).

* Definitions:

* Major Revisions: Significant changes to narrative structure, voiceover re-recordings, script changes after approval, removal/addition of whole scenes, or fundamental music changes.

* Minor Revisions: Incremental adjustments, color grade tweaks, minor audio mix leveling, graphic typo fixes, or simple shot swaps that do not disrupt the narrative core.

8. Media Storage & Raw Footage

* Final Delivery: Upon full payment, master deliverables are provided via secure digital download link.

* Archival Policy: We maintain active working files during active production. Unless an ongoing Asset Storage/Archival Agreement ($25/month) is selected and maintained, we are under no obligation to archive raw footage, project files, or assets beyond 30 days post-project completion.

* Raw Footage: Raw camera footage, project files, assets, and working software project files remain the proprietary property of the Producer. Raw camera files may be purchased separately starting at $500, plus storage drive and shipping costs.

9. Intellectual Property & Portfolio Rights

* Client Rights: Upon full payment of the total project budget, the Client owns the final exported Video deliverables and receives global, perpetual usage rights for the completed video files as specified in the proposal.

* Producer Portfolio Rights: Client grants Producer an exclusive, worldwide, sublicensable, transferable, royalty-free license to use project clips, final videos, behind-the-scenes content, and stills for Producer's marketing, portfolio reels, website display, social media, and award submissions.

* Clearances: Client is responsible for securing all necessary likeness, trademark, and location rights for client-supplied elements, products, or featured personnel.

10. Insurance Representation

Producer warrants that it maintains at least $1,000,000 in General Liability Insurance at all times during the production and filming of the Video.

11. Confidentiality

Both parties agree to protect proprietary trade secrets, unreleased product information, sensitive business strategies, and private corporate data disclosed during the term of this project.

12. Client Indemnification

Client agrees to defend, indemnify, and hold harmless Producer, and its officers, employees, agents, representatives, successors, and assigns, from and against any and all losses, claims, liabilities, damages, costs, judgments, and expenses (including reasonable attorney’s fees), whether in tort, contract, or otherwise, arising out of or relating to the project, the performance of work, or Client-supplied materials, whether caused by Producer’s alleged or actual negligence or otherwise.

13. Limitation of Liability & Remedy

In no event shall Producer be liable to Client for any indirect, incidental, consequential, punitive, or special damages, or for loss of profits, revenue, or data. Producer's total cumulative liability for any claim arising out of or related to this agreement shall in no case exceed the total fees actually paid by Client to Producer under this agreement. Client’s sole remedy for any breach shall be in money damages, and Client explicitly waives any right to seek injunctive or equitable relief to halt video distribution or production. Any legal action against Producer must be filed within one (1) year after the cause of action accrues.

14. Termination

This agreement may be terminated by either party upon written notice. If Client terminates the project for any reason, Client shall pay Producer a non-refundable cancellation fee of 25% of the total project budget, plus all production expenses, hours logged, and non-cancelable vendor fees incurred up to the date of cancellation.

15. Governing Law & Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of Nevada. Any claim or dispute arising out of or relating to this Agreement shall be resolved through binding arbitration in Clark County, Nevada, administered by the American Arbitration Association (AAA). The prevailing party in any arbitration or legal proceeding shall be entitled to recover its reasonable attorney's fees and costs.
